By accessing or using Matchelo ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all users of the platform, including real estate agents ("Agents") and investors/leads ("Clients").

2. Description of Services

Matchelo is a SaaS platform that enables real estate investment agents to: - Showcase investment properties and projects - Create qualification forms to gather investor information - Use AI-powered tools to match investors with suitable properties - Conduct live presentations with AI assistance - Manage investor leads and communications We are a technology platform and do not provide real estate, financial, or investment advice.

3. AI-Generated Content Disclaimer

Matchelo uses artificial intelligence to assist with: - Investment project descriptions and marketing content - Investor qualification analysis and scoring - Conversation transcription and summarization - Project matching recommendations IMPORTANT: AI-generated content, recommendations, and analyses are provided for informational purposes only and do not constitute financial, investment, or legal advice. All AI outputs should be reviewed by qualified professionals. Past performance suggested by AI analysis does not guarantee future results. Users acknowledge that AI systems can make errors and that Matchelo does not guarantee the accuracy of AI-generated content.

4. Recording and Transcription Consent

By using the Live Session feature, you acknowledge and consent that: - Sessions may be recorded and transcribed - Transcriptions are processed by Deepgram (deepgram.com) - AI-generated summaries are created from transcriptions - Recordings and transcripts are stored securely - You are responsible for obtaining consent from all session participants - Applicable wiretapping and recording laws vary by jurisdiction Agents using the Live Session feature are solely responsible for compliance with all applicable recording-consent laws in their and their participants' jurisdictions.

5. Agent Accounts

Real estate agents who create accounts on our platform agree to: - Provide accurate and current information about themselves and their properties - Only list legitimate investment opportunities with accurate information - Comply with all applicable real estate laws and regulations in their jurisdiction - Obtain proper consent before sending communications to leads - Maintain the confidentiality of their account credentials - Not share account access with unauthorized parties Matchelo reserves the right to suspend or terminate accounts that violate these terms.

6. SMS Communications Consent

By submitting your phone number through any Matchelo qualification form or lead capture page, you expressly consent to receive text messages from the real estate agent who owns that form, including: - Property information and investment opportunities - Appointment reminders and confirmations - Follow-up communications Message frequency varies by agent. Standard message and data rates may apply. To opt out: Reply STOP to any message For help: Reply HELP or contact info@workganize.com Consent to receive SMS is not a condition of any purchase or service.

7. Intellectual Property

The Matchelo platform, including its design, features, and AI systems, is owned by Matchelo and protected by intellectual property laws. Agents retain ownership of their project listings, forms, and content uploaded to the platform. By uploading content, agents grant Matchelo a license to display and process that content to provide our services.

8. Limitation of Liability

Matchelo provides the platform "as is" without warranties of any kind. We are not liable for: - Investment decisions made based on information displayed on the platform - Actions or omissions of real estate agents using our platform - Loss of data or business interruption - Indirect, incidental, or consequential damages Our total liability shall not exceed the amount paid by you for the service in the 12 months preceding the claim.

9. Subscription and Billing

Agent subscriptions are billed monthly. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are not provided for partial months of service. You may cancel your subscription at any time through your account settings or by contacting us. We reserve the right to modify pricing with 30 days advance notice.

10. Prohibited Uses

You may not use Matchelo to: - Post fraudulent or misleading property information - Send unsolicited communications (spam) to leads - Collect personal information without proper disclosure and consent - Violate any applicable laws or regulations - Attempt to access other users' data or accounts - Reverse engineer or copy our platform

11. Termination

Either party may terminate the service relationship at any time. Upon termination: - Agent access to the platform will be revoked - Agent data will be retained for 30 days and then deleted upon request - Outstanding subscription fees remain due

12. Governing Law

These terms are governed by the laws of the State of Florida, United States. Any disputes shall be resolved in the courts of Florida.
